# TERMS AND CONDITIONS OF PHOTO SUBMISSION

## 1. Who We Are
1.1 This photo submission platform (the "Platform") is operated by Frank Styles, a professional visual artist trading as Frank Styles ("the Artist", "we", "us", "our"), registered with the Information Commissioner's Office (ICO) under the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
1.2 The Platform has been created in connection with a large-scale public artwork commissioned for display at Wembley Park, London (the "Work"). The Work is commissioned by Wembley Park (Quintain Estates and Development Ltd) (the "Commissioner"). For the avoidance of doubt, the Commissioner has no access to, and does not receive, any personal data collected through this Platform.
1.3 By submitting a photograph through this Platform, you enter into a legally binding agreement with the Artist on the terms set out below. Please read these Terms and Conditions carefully before submitting. If you do not agree to these Terms, you must not submit.

## 2. Eligibility
2.1 You must be aged 18 or over to submit a photograph. If you wish to submit a photograph that includes a person under the age of 18, you must have obtained the prior written consent of that person's parent or legal guardian. By submitting, you confirm that such consent has been obtained.
2.2 By submitting, you confirm that you are not doing so in the course of any trade or business and that your submission is made in a personal capacity.
2.3 These Terms are governed by the laws of England and Wales. By submitting, you agree to the exclusive jurisdiction of the English courts.

## 3. Your Submission
3.1 You may submit one photograph per person. The Artist reserves the right to accept or reject multiple submissions at its sole discretion.
3.2 Submitted photographs must:
- Be photographs of two or more people
- Be your own photograph, or a photograph you have permission from the photographer to submit
- Feature only individuals who have given their consent to appear in a public artwork
- Be in JPG or PNG format with a maximum file size of 10MB
- Not be blurry, very dark, or of insufficient resolution for use in a large-scale artwork
3.3 Submitted photographs must not:
- Contain any content that is obscene, offensive, pornographic, blasphemous, defamatory, threatening, abusive, or otherwise unlawful
- Depict any individual in a state of undress or in a sexualised context
- Contain imagery that could constitute hate speech or incitement under the Crime and Disorder Act 1998 or any other applicable law
- Infringe the intellectual property rights of any third party
- Feature any individual under the age of 18 without appropriate parental or guardian consent
- Have been generated by artificial intelligence or substantially altered by digital manipulation beyond basic colour and exposure adjustment
- Contain watermarks, borders, or third-party logos
3.4 The Artist reserves the right to reject, remove, or decline to use any submission at any time and at its sole discretion, without being required to give reasons.

## 4. Licence to Use Your Photograph
4.1 By submitting a photograph, you grant the Artist a non-exclusive, worldwide, royalty-free licence to use your photograph for the following purposes:
(a) incorporation into the Work as a component element of the large-scale public artwork displayed at Wembley Park, London;
(b) reproduction of the Work in associated press, media, promotional, and marketing materials connected with the Work and the Artist's practice;
(c) documentation of the Work and its creation process, including but not limited to photography, video, and publication on the Artist's website and social media channels;
(d) exhibition of the Work at Wembley Park and, where relevant, at any subsequent exhibition of the Work;
(e) inclusion in the Artist's professional portfolio.
4.2 This licence does not transfer ownership of your photograph to the Artist. You retain all copyright in your photograph. The Artist will not sell or commercially exploit your photograph as a standalone image.
4.3 The Artist will not use your photograph in any way that could reasonably be considered derogatory, defamatory, or harmful to the individuals depicted.
4.4 You acknowledge and agree that once the Work has been created and publicly displayed, it may not be possible to remove your photograph from the Work, and you waive any right to demand its removal in those circumstances.

## 5. Your Warranties
5.1 By submitting, you warrant and represent that:
(a) you are the owner of the photograph or have obtained the express permission of the photographer and copyright holder to submit it on the terms set out here;
(b) you have obtained the consent of every identifiable individual appearing in the photograph for their image to be used as part of a public artwork and in associated materials as described in clause 4.1 above;
(c) where any individual appearing in the photograph is under 18, you have obtained the express consent of their parent or legal guardian;
(d) the photograph does not infringe the rights of any third party, including but not limited to copyright, privacy, and data protection rights;
(e) the photograph is not obscene, offensive, defamatory, blasphemous, or otherwise unlawful;
(f) you have not been paid or offered any incentive to submit the photograph.
5.2 You agree to indemnify the Artist against any claims, losses, damages, costs, or expenses (including legal fees) arising from any breach of the warranties in clause 5.1.

## 6. Inclusion in the Work
6.1 The Artist will make reasonable efforts to include submitted photographs in the Work. However, the Artist gives no guarantee that any particular submission will appear in the final Work. The decision as to which photographs are included, where they are placed, and how they are used is made entirely at the Artist's creative and artistic discretion.
6.2 Inclusion of your photograph in the Work is not conditional on any payment or consideration. You will not receive any financial remuneration, royalty, or other payment in connection with the use of your photograph.
6.3 If your photograph is included in the Work, the Artist will make reasonable efforts to notify you of approximately where in the artwork your photograph can be found, using the submission reference code assigned to you at the time of submission.

## 7. Moderation
7.1 All submissions will be reviewed by the Artist prior to inclusion. The Artist reserves the right to exclude any submission that, in its sole judgement, does not meet the submission guidelines or is otherwise unsuitable for inclusion in a public artwork.
7.2 The Artist will not enter into correspondence regarding moderation decisions.

## 8. Data Protection
8.1 The Artist is the sole data controller and data processor of all personal data (including photographs and associated metadata) collected through this Platform in accordance with the UK GDPR and the Data Protection Act 2018. Full details of how your data is used, stored, and protected are set out in the Privacy Notice below.
8.2 You have the right to withdraw consent for the processing of your personal data at any time. However, where your photograph has already been incorporated into the Work, it may not be technically possible to remove it. The Artist will honour all data subject rights to the fullest extent possible in these circumstances.

## 9. Intellectual Property
9.1 The Work as a whole is an original artistic work and all intellectual property rights in the Work vest in the Artist. Your submission does not give you any rights in or to the Work as a whole.
9.2 You retain copyright in your individual photograph. Nothing in these Terms transfers ownership of your photograph to the Artist.

## 10. Liability
10.1 The Artist's liability to you in connection with your submission is limited to the fullest extent permitted by applicable law.
10.2 The Artist accepts no responsibility for any technical failure, data loss, or submission failure arising from factors outside its reasonable control.
10.3 Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

## 11. Changes to These Terms
11.1 The Artist reserves the right to amend these Terms at any time. Any changes will be posted on this page with an updated date. Continued use of the Platform following any changes constitutes acceptance of the updated Terms.
